Registering a Sendirian Berhad company in Malaysia involves several structured steps under the supervision of the Companies Commission of Malaysia (SSM). Here’s a concise overview of the process:

  1. Name Search and Reservation: Begin by conducting a name search via the MyCoID portal to ensure the proposed company name is available. Once approved, the name can be reserved for 30 days.

  2. Fulfill Basic Requirements: Appoint at least one director who is a resident of Malaysia and one shareholder (can be the same person). You must also appoint a qualified company secretary within 30 days of incorporation.

  3. Prepare Incorporation Documents: These include:

    • Form under Section 14 of the Companies Act 2016

    • Constitution (optional)

    • Declaration by director(s) and promoter(s)

    • Copy of directors’ and shareholders’ identification (e.g., NRIC or passport)

  4. Submit Online via MyCoID: Complete and submit the incorporation application through the MyCoID system, attaching all required documents and paying the registration fee (typically RM1,000).

  5. Receive Notice of Registration: If approved, SSM will issue a Notice of Registration. A Certificate of Incorporation can be obtained upon request.

Once registered, your company is legally recognized as a private limited entity (Sdn Bhd) and can commence operations.
